Terms of Service

1. Introduction
These Terms of Service ("Terms") govern your use of ClawShip, available at clawship.io. ClawShip is the trading name of Jose Florendo, a sole trader registered in Australia (ABN provided on request).
By creating an account or using the service, you agree to be bound by these Terms. If you do not agree, do not use ClawShip.
2. Eligibility
You must be at least 18 years of age and capable of entering into a legally binding agreement to use ClawShip. By using the service, you represent and warrant that you meet these requirements.
3. The Service
ClawShip is a managed hosting platform that lets you deploy and run OpenClaw AI assistants on Telegram. We provision and manage infrastructure so you can focus on configuring your assistant.
ClawShip relies on OpenClaw, a third-party open-source project that is under active development. The features, stability, and behaviour of OpenClaw may change without notice, and ClawShip does not control or warrant its performance. Service functionality may be affected by OpenClaw updates, bugs, or breaking changes.
ClawShip also depends on third-party services including, but not limited to, Hetzner, Supabase, Vercel, Stripe, Telegram, OpenAI, and Anthropic. We are not responsible for any outage, change, or discontinuation of any third-party service.
4. Service Availability
ClawShip is provided on an "as available" basis. We do not offer any service level agreement (SLA) and do not guarantee any specific level of uptime, availability, or performance. We may suspend, restrict, or discontinue the service (in whole or in part) at any time, with or without notice, for any reason, including but not limited to maintenance, security concerns, or business decisions.
5. Accounts and Authentication
You sign in to ClawShip using Google OAuth. You are responsible for maintaining the security of your Google account and for all activity that occurs under your ClawShip account.
6. Your Credentials and API Keys
To use ClawShip, you must supply your own Telegram bot token and a third-party AI provider API key (e.g., OpenAI or Anthropic). You are the sole owner and controller of these credentials. You are solely responsible for:
- The security and confidentiality of your bot token and API key;
- All usage, charges, and activity conducted through your credentials;
- Compliance with the terms of service of Telegram, OpenAI, Anthropic, or any other provider whose credentials you supply;
- Any content generated, transmitted, or received by your bot.
ClawShip stores your credentials solely for the purpose of provisioning and operating your assistant. You may revoke or rotate your credentials at any time through the respective provider.
7. AI-Generated Content Disclaimer
Your ClawShip-hosted assistant generates responses using third-party AI models (e.g., OpenAI, Anthropic). ClawShip does not control, review, endorse, or take responsibility for any content generated by the AI. AI-generated content may be inaccurate, incomplete, misleading, or inappropriate.
You acknowledge and agree that:
- ClawShip is not the author or publisher of any AI-generated content;
- You are solely responsible for how your bot is used and for any AI-generated content it produces or distributes;
- You will not rely on AI-generated content for medical, legal, financial, or other professional advice;
- You will comply with all applicable laws regarding the distribution of AI-generated content, including any disclosure requirements.
8. Pricing and Payment
- ClawShip costs $19 USD per month.
- New accounts receive a 3-day free trial. A valid credit card is required to start the trial.
- After the trial, your card will be charged automatically each month via Stripe.
- Your subscription auto-renews at the start of each billing cycle until you cancel.
- We reserve the right to change pricing at any time. Price changes will take effect at the start of your next billing cycle, and we will provide at least 14 days' notice.
9. Cancellation
You may cancel your subscription at any time through the Stripe customer portal, accessible from your ClawShip account dashboard. When you cancel, your service will remain active until the end of your current billing period. After that, your account and hosted assistants will be deactivated and your stored credentials will be deleted.
10. Refunds
Except as required by Australian Consumer Law or other applicable consumer protection legislation, all payments are non-refundable. When you cancel, you retain access for the remainder of your paid period, but no partial or prorated refunds will be issued.
11. Acceptable Use
You agree not to use ClawShip to:
- Send spam or unsolicited messages;
- Harass, abuse, or threaten any person;
- Generate or distribute content that is defamatory, obscene, or violates the rights of any third party;
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
- Interfere with or disrupt the service or servers or networks connected to the service;
- Attempt to gain unauthorised access to any part of the service;
- Use the service in a manner that violates the terms of Telegram, OpenAI, Anthropic, or any other third-party provider;
- Engage in any activity that is illegal under applicable law.
We reserve the right to suspend or terminate your account without notice if you violate these rules.
12. Infrastructure and Data
ClawShip runs on Hetzner servers located in Germany, with additional services provided by Supabase and Vercel. By using ClawShip, you acknowledge that your data may be processed in these locations. For details on how we handle your personal information, please see our Privacy Policy.
13. Intellectual Property
You retain ownership of any content and configuration you create through ClawShip. We retain ownership of the ClawShip platform, branding, and all related software. Nothing in these Terms grants you any right to use our trademarks, logos, or branding without our prior written consent.
14. Disclaimer of Warranties
To the maximum extent permitted by applicable law, ClawShip is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Without limiting the foregoing, we do not warrant that:
- The service will be uninterrupted, timely, secure, or error-free;
- The results obtained from the service (including AI-generated content) will be accurate, reliable, or fit for any purpose;
- Any defects in the service will be corrected;
- The service will be compatible with any third-party software, platform, or service, including future versions of OpenClaw or Telegram.
15. Australian Consumer Law
Certain rights and remedies under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) ("ACL") cannot be excluded, restricted, or modified by agreement. Nothing in these Terms is intended to exclude, restrict, or modify any consumer guarantee or right that applies under the ACL or any equivalent state or territory legislation that cannot be excluded.
To the extent that the ACL permits us to limit our liability for a breach of a consumer guarantee, our liability is limited (at our option) to:
- Supplying the services again; or
- Paying the cost of having the services supplied again.
16. Limitation of Liability
Subject to the Australian Consumer Law clause above, to the maximum extent permitted by law, ClawShip's total aggregate liability to you for any and all claims arising from or related to the service or these Terms is limited to the total amount you have actually paid to ClawShip in the three (3) months immediately preceding the event giving rise to the claim.
To the maximum extent permitted by law, in no event will ClawShip (including Jose Florendo personally) be liable for any:
- Indirect, incidental, special, consequential, or punitive damages;
- Loss of profits, revenue, data, business opportunities, or goodwill;
- Damages arising from or related to AI-generated content;
- Damages arising from or related to the actions of third-party services, including OpenClaw, Telegram, OpenAI, or Anthropic;
- Damages arising from unauthorised access to or alteration of your credentials, transmissions, or data;
whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, even if ClawShip has been advised of the possibility of such damages.
17. Indemnification
You agree to indemnify, defend, and hold harmless Jose Florendo (trading as ClawShip) from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to:
- Your use of the service;
- Any content generated, transmitted, or distributed by your bot;
- Your violation of these Terms or any applicable law;
- Your violation of any third party's rights, including intellectual property rights or privacy rights;
- Any claim by a third party arising from interactions with your bot.
This indemnification obligation survives the termination of your account and these Terms.
18. Termination
We may suspend or terminate your access to ClawShip at any time, with or without cause, and with or without notice. Upon termination, your right to use the service ceases immediately. Sections that by their nature should survive termination will survive, including but not limited to: Disclaimer of Warranties, Australian Consumer Law, Limitation of Liability, Indemnification, and Governing Law.
19. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of New South Wales, Australia. Each party submits to the non-exclusive jurisdiction of the courts of New South Wales and any courts that may hear appeals from those courts. If a dispute arises, we will first attempt to resolve it through informal negotiation for a period of thirty (30) days.
Nothing in this clause limits your right to bring proceedings in any court or tribunal that has jurisdiction under the Australian Consumer Law or any other applicable consumer protection legislation.
20. Force Majeure
ClawShip will not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, internet or telecommunications failures, third-party service outages (including Hetzner, Telegram, OpenAI, Anthropic, OpenClaw), cyberattacks, pandemics, or other events of force majeure.
21. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email at least fourteen (14) days before the changes take effect. Your continued use of ClawShip after the changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using ClawShip and cancel your subscription before the changes take effect.
22. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it valid and enforceable, or if it cannot be modified, it will be severed from these Terms. The remaining provisions will continue in full force and effect.
23. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and ClawShip regarding the use of the service and supersede all prior agreements, representations, and understandings.
